Welcome to Demtos Clip. These Terms of Service ("Terms") govern your access to and use of the Demtos Clip platform and services. By creating an account or using our services, you agree to be bound by these Terms.
Demtos Clip is operated by Demtos. These Terms apply specifically to Demtos Clip and should be read together with our Privacy Policy, Refund Policy, Copyright Policy, and Acceptable Use Policy.
1. Service Description
Demtos Clip is a video and audio processing platform that allows users to:
- Upload and process video and audio files
- Generate transcripts, summaries, and other AI-powered content
- Create and edit short-form video clips
- Download processed content
We reserve the right to modify, suspend, or discontinue any part of the service at any time with or without notice.
2. Account Registration
To use Demtos Clip, you must:
- Be at least 13 years of age
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
You are responsible for all activities that occur under your account. You may not share your account with others or create multiple accounts to abuse free trials or promotional offers.
3. Credits and Pricing
Credit System
Demtos Clip uses a credit-based system. Processing videos and audio files consumes credits based on duration and features used.
Purchased Credits
- Purchased credits do not expire
- Credits are non-refundable (see Refund Policy for exceptions)
- Credits cannot be transferred or exchanged for cash
Subscription Credits
- Subscription plans provide monthly credits
- Subscription credits do not roll over to the next billing period
- Unused subscription credits are forfeited at the end of each month
- Subscriptions renew automatically unless cancelled
Pricing Changes
We reserve the right to change pricing at any time. Price changes will not affect active subscriptions until the next renewal period. We will provide notice of significant price changes.
4. User Content
Your Rights
You retain all ownership rights to content you upload to Demtos Clip. We do not claim ownership of your content.
License to Us
By uploading content, you grant Demtos Clip a limited, non-exclusive, worldwide license to:
- Store, process, and analyze your content to provide the service
- Create derivative works (transcripts, clips, summaries) as requested by you
- Use your content to improve our AI models and services (anonymized and aggregated)
This license terminates when you delete your content or close your account, except for content that has been shared or distributed.
Your Responsibilities
You represent and warrant that:
- You own or have the necessary rights to all content you upload
- Your content does not violate any laws or third-party rights
- Your content complies with our Acceptable Use Policy
5. Prohibited Activities
You agree not to engage in any activities prohibited by our Acceptable Use Policy, including but not limited to:
- Uploading illegal, infringing, or harmful content
- Attempting to hack, disrupt, or abuse the service
- Using automated tools without permission
- Reselling or redistributing the service
- Violating intellectual property rights
6. Service Availability and Support
We strive to provide reliable service but do not guarantee:
- Uninterrupted or error-free operation
- Specific processing times or speeds
- Compatibility with all file formats or devices
- Permanent storage of your content
We may perform maintenance, updates, or modifications that temporarily affect service availability. We will provide notice when possible.
7. Data and Privacy
Your use of Demtos Clip is subject to our Privacy Policy, which explains how we collect, use, and protect your information.
You are responsible for backing up your content. We are not liable for any loss of data.
8. Intellectual Property
The Demtos Clip platform, including all software, designs, text, graphics, and trademarks, is owned by Demtos and protected by intellectual property laws.
You may not copy, modify, distribute, or reverse engineer any part of the service without our written permission.
9. Termination
By You
You may close your account at any time through your account settings. Upon closure:
- Your access to the service will be terminated
- Your content may be deleted (we recommend downloading first)
- Unused credits will be forfeited (no refunds)
By Us
We may suspend or terminate your account if:
- You violate these Terms or our policies
- Your account is inactive for an extended period
- We are required to do so by law
- Continuing to provide service creates legal or security risks
Termination for policy violations will result in forfeiture of all credits without refund.
10. Disclaimers and Limitations of Liability
Service "As Is"
Demtos Clip is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Liability
To the maximum extent permitted by law, Demtos shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, data, or business opportunities
- Service interruptions or errors
- Third-party actions or content
Our total liability shall not exceed the amount you paid to Demtos Clip in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Demtos, its affiliates, and employees from any claims, damages, or expenses arising from:
- Your use of the service
- Your content or violation of third-party rights
- Your violation of these Terms or applicable laws
12. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or through the platform. Continued use of Demtos Clip after changes are posted constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction where Demtos is registered, without regard to conflict of law principles.
